The nonprofit continuing care retirement community filed on November 17, 2025 after its 2021 restructuring failed to overcome slower post-pandemic occupancy recovery, inflation and higher labor costs. It entered the case with at least $168.84 million of funded debt identified so far, principally Series 2021 bonds secured by substantially all assets. Before filing, the debtor had run a broad marketing process and executed a $100 million stalking-horse agreement with Focus SH Acquisition LLC; the proposed transaction contemplated converting the community to a rental-only model and creating a $12 million pool for certain entrance-fee residents, as described in the first-day declarationDkt. 21.
The case was therefore structured from the outset around a prompt going-concern sale. To preserve operations and resident services during that process, the debtor sought a $4 million priming, superpriority DIP facility and use of cash collateral, with sale milestones embedded in the DIP financing motionDkt. 19; the court initially authorized $1 million of borrowing and cash-collateral use under a budget in the interim financing orderDkt. 50. Following the sale closing and repayment of the DIP, the remaining case centers on plan confirmation, estate wind-down and allocation of sale proceeds. The Official Committee of Unsecured Creditors is appealing the order permitting distributions to UMB Bank, contending that payment was premature while related standing issues remained on appeal; its designation and statement of issuesDkt. 575 sets an August 10 deadline for the appellee’s designation, making the appeal record and the August 21 confirmation hearing the principal near-term milestones.
