Court confirms Duart-funded reorganization for Maguire debtors
Maguire Group Holdings, Inc. and four affiliated debtors filed chapter 11 in the Southern District of Florida on October 24, 2011, with the lead debtor listing $1 million to $10 million in assets, $10 million to $50 million in liabilities, and 100 to 199 creditors source filing. The debtor group included Maguire Holdings, The Maguire Corporation, Maguire Group Inc., East Atlantic Casualty Company, Ltd., and Maguire Group, Architects, Engineers, Planners, Ltd.; Carlos A. Duart served as president or CEO across the group, and the debtors operated from Miami with links to non-debtor Metric Engineering, Inc. source filing. By the plan stage, the disclosure statement described MGI as the operating company, with about 170 employees providing architectural, engineering and planning services across multiple U.S. states and the Virgin Islands source filing.
The court confirmed the Plan Proponents' Third Amended Plan after a July 24 confirmation hearing, with the debtors and the Official Committee of Unsecured Creditors as proponents and all objections withdrawn, settled or overruled source filing. The plan is funded by a $350,000 Carlos Duart contribution, available cash, future cash flow and reserves; it pays necessary general unsecured claims in full without interest, provides a $250,000 lump-sum pool for other general unsecured claims, extinguishes existing equity, and issues 100% of new equity to the plan proponents or their designees in exchange for Duart's contribution, guarantee and subordination of his $338,500 unsecured claim source filing.
