Court approves hospital asset sale to Strawberry Fields REIT
The court approved John Fitzgibbon Memorial Hospital’s asset purchase agreement with Strawberry Fields REIT and its affiliates and assigns, including American Medical Administrators and its designees. The sale order authorizes the transfer of the hospital assets free and clear of liens, claims and other interests, with those interests attaching to the sale proceeds. The court found the transaction was the highest or otherwise best offer, provided reasonably equivalent value and supported a going-concern disposition; the order does not disclose the purchase price.
The purchaser will assume only the liabilities expressly designated in the agreement and may receive assigned executory contracts and leases after applicable cure treatment. The order also grants the purchaser good-faith-buyer protection under section 363(m) and resolves or overrules objections to sale approval. Closing has not yet occurred: consummation remains subject to satisfaction or waiver of the agreement’s conditions precedent. Approval therefore removes the main judicial obstacle, while closing, contract cures and the eventual allocation of sale proceeds remain the immediate issues for creditors and counterparties.
