Court sets AmplifyBio sale process around Battelle stalking-horse bid
The court approved AmplifyBio’s bidding procedures for a sale of all or substantially all assets and locked in Battelle Memorial Institute, or its designee, as stalking-horse bidder under a $20 million credit-bid APA, plus assumption of cure costs and payment of Hilco fees. The sale and bidding-procedures order also approved a break-up fee and made Battelle’s APA a qualifying bid, giving the lender-stalking horse a protected baseline while preserving a market test.
The order sets the active sale calendar: qualifying bids are due August 15, 2025 at noon ET; the debtors must designate qualifying bids and a baseline bid by August 18; an auction will run August 19 at 10:00 a.m. ET if multiple qualifying bids emerge; sale and contract-assumption objections are due August 22 at 5:00 p.m. ET; the sale hearing is August 28 at 10:00 a.m.; and the successful bidder must close by September 2. The practical watchpoint is whether any bidder tops Battelle before the August 15 deadline; absent that, the case is tracking toward a lender-led asset transfer on a compressed late-summer timeline.
