Baker & Taylor is pursuing a Chapter 11 liquidation, with its disclosure statement approved and its plan awaiting creditor votes and confirmation. The solicitation order Dkt. 185 sets a December 1, 2026 deadline for ballots and confirmation objections and a December 8 confirmation hearing.
Baker & Taylor is pursuing a Chapter 11 liquidation under a plan that would wind down the book distributor, resolve claims and distribute available assets. On October 29, 2026, the court approved the disclosure statement and voting procedures; the solicitation order Dkt. 185 sets December 1 at 4:00 p.m. Eastern for ballots and confirmation objections and December 8 at 2:00 p.m. Eastern for the confirmation hearing.
The company filed its Chapter 11 petition Dkt. 1 on March 16, 2026, estimating liabilities of $100 million to $500 million. After restructuring efforts failed, Baker & Taylor defaulted under its CIT credit facility in 2025; the second amended disclosure statement Dkt. 184 reports that the company retired the facility in full on February 13, 2026, after it had exceeded $30 million in August 2025. The September operating report Dkt. 179 reported no full-time employees and $266,785 in cash at month end.
The amended liquidation plan Dkt. 180 would place remaining assets with a liquidating debtor managed by a plan administrator, who would collect assets, resolve claims and make distributions. Priority non-tax claims, WARN Act claims and unsecured claims are impaired and entitled to vote; equity would be canceled without recovery. Allowed WARN claims would receive priority treatment to the extent applicable, with any remainder treated as unsecured. The second amended disclosure statement Dkt. 184 estimates $8.3 million in asserted WARN claims and $96.64 million in unsecured claims, with recoveries for both classes unknown. Its Chapter 7 analysis projects no distribution to unsecured creditors.
WARN liability remains contested. On October 30, the creditors’ committee filed a motion to expunge WARN claims Dkt. 186, arguing that the representative class claim is procedurally improper and that exceptions to the WARN Acts apply. Objections to that motion are due November 24, with a hearing scheduled for December 1.
