Black News Channel moved into Chapter 7 liquidation under the December 21, 2022 conversion order Dkt. 540. The next phase was trustee-led administration of the remaining estate and creditor claims, replacing the expedited Chapter 11 sale process described in the first-day declaration Dkt. 60.
Black News Channel, LLC's bankruptcy became a Chapter 7 liquidation when the court granted the debtor's amended conversion motion on December 21, 2022, through the conversion order Dkt. 540. The company had filed its Chapter 11 petition Dkt. 1 on March 28, 2022. Its original restructuring strategy was to preserve business assets and distribution relationships while pursuing an expedited marketing and sale process, as explained in the first-day declaration Dkt. 60. Conversion placed the remaining estate on a path of trustee-led liquidation and claims administration.
The Tallahassee-based network provided news programming focused on Black and Brown communities and began broadcasting in February 2020. In her April 6, 2022 declaration Dkt. 60, finance executive Maureen Brown described persistent negative cash flow, an unsuccessful search for additional investment, and workforce reductions that failed to restore liquidity. The company could not make payroll on March 25, 2022, when it separated 212 employees and six contractors, leaving 17 employees. Interest from potential transaction parties following reports of a shutdown prompted the board to pursue Chapter 11 and a sale process.
The court's May 31, 2022 final financing order Dkt. 252 authorized cash-collateral use and borrowing of up to $3,329,000, including the earlier $1,615,000 interim authorization. The Stache Investments Corporation DIP facility was recorded as paid in full in the September 22, 2022 Stache settlement order Dkt. 468, before the December conversion to Chapter 7.
