Genesis Healthcare’s confirmed Chapter 11 plan is effective, and the case is moving into wind-down and claims administration. The court confirmed the plan on October 14, 2026 Dkt. 3662; it became effective that day for LTC ACO, LLC and PAI Participant 1, LLC and on October 23 for the remaining debtors, as reported in the effective date notices Dkt. 3667 and Dkt. 3702. Existing Genesis Healthcare common equity was cancelled on October 23.

Genesis and its affiliates filed for Chapter 11 on July 9, 2025, seeking a sale of substantially all assets. The first-day declaration Dkt. 18 attributed the liquidity crisis to COVID-19 operating pressures, inflationary staffing costs, inadequate Medicaid reimbursement and legacy personal injury and wrongful death liabilities; it also reported that an out-of-court restructuring with term lenders had not been reached.

The confirmed plan Dkt. 3662 authorized the ACO transaction as part of the sale transaction and provided for liquidation and wind-down trusts. The debtors subsequently filed executed trust agreements Dkt. 3745; the wind-down trust is to transfer remaining assets to the liquidation trust after completing the wind-down and funding necessary reserves. Under the plan Dkt. 3635, general unsecured creditors are to receive distributions from group-specific trust assets and allocated cash, while subordinated claims and existing common equity receive no recovery.

The next material deadlines concern claims. The ACO effective date notice Dkt. 3667 sets November 13, 2026 for certain administrative, rejection-damages and indemnification claims against the two ACO entities. The remaining debtors’ notice Dkt. 3702 sets November 23 for certain administrative, rejection-damages and indemnification claims and December 22 for final professional fee applications, subject to the stated exceptions.
