NextPoint Financial's Chapter 15 proceeding reached sale approval on December 11, 2023, when the court recognized the Canadian vesting order and authorized the sale of substantially all debtor interests, subject to permitted encumbrances, in its Sale Recognition Order Dkt. 155. The next step authorized at that date was consummation of the transaction; the order waived the closing stay but did not establish a completed sale.
NextPoint Financial's Chapter 15 proceeding reached U.S. approval of its Canadian sale transaction on December 11, 2023. The Sale Recognition Order Dkt. 155 recognized and enforced the Canadian court's October 31, 2023 vesting order and authorized the sale of substantially all debtor interests free and clear of liens, claims, and encumbrances, except permitted encumbrances. It authorized implementation without a further U.S. court order and waived the closing stay, making consummation the next authorized step at that date; it did not establish that the transaction had closed.
NextPoint filed its Chapter 15 Petition Dkt. 1 on July 26, 2023, seeking U.S. recognition of restructuring proceedings under Canada's Companies' Creditors Arrangement Act in British Columbia. The group combined Liberty Tax's franchised tax preparation business, Community Tax's tax debt resolution services, and LoanMe's specialty lending business. The Kravitz Declaration Dkt. 9 attributed the distress to an unsustainable capital structure, seasonal losses outside Liberty Tax's principal tax season, and weaker client acquisition at Community Tax following reduced tax enforcement during the pandemic. LoanMe had stopped originating new loans in June 2022 and was being wound down.
The July 25, 2023 restructuring support agreement established a sale and investment solicitation process and contemplated a $25 million DIP financing facility, as described in the Kravitz Declaration Dkt. 9. The December sale order subsequently found that the solicitation process had provided prospective bidders a reasonable opportunity to make offers and approved the resulting transaction.
The approved structure covered Liberty Tax and Community Tax entities. Under the Canadian vesting order attached to the Sale Recognition Order Dkt. 155, excluded assets, contracts, and liabilities were to transfer to residual companies upon delivery of the monitor's closing certificate, while purchased interests would vest in the purchaser subject to permitted encumbrances. The acquired entities would then cease to be applicants in the Canadian proceeding. This established a sale path separating the acquired businesses from excluded obligations, with those transfers contingent on closing.
