Remington’s 2018 Chapter 11 cases were closed under the July 16, 2018 final decree Dkt. 335. The prepackaged reorganization had reached effectiveness on May 15, 2018, as reported in the effectiveness notice Dkt. 266, completing the plan’s transition from confirmation to emergence.
Remington Outdoor Company’s Chapter 11 restructuring culminated in the July 16, 2018 final decree closing the cases Dkt. 335. The company and its affiliates filed in Delaware on March 25, 2018; the court entered the plan confirmation order Dkt. 248 on May 4, 2018, and the notice filed May 16 Dkt. 266 reported that the plan reached effectiveness on May 15, 2018.
The firearms and ammunition manufacturer entered Chapter 11 after sales fell from $865.1 million in 2016 to $603.4 million in 2017, while adjusted EBITDA declined from $119.8 million to $33.6 million. The first-day declaration Dkt. 7 described a prepackaged balance-sheet restructuring negotiated through a February 11, 2018 restructuring support agreement with a majority of term lenders and third-lien noteholders. The strategy was to reorganize the business through a creditor ownership exchange while preserving ordinary-course creditor treatment.
At filing, the proposed restructuring allocated 82.5% of the reorganized parent’s equity to term lenders and 17.5% to third-lien noteholders, with the latter also slated for a $39.3 million cash distribution. The first-day declaration Dkt. 7 also described a proposed $5.0 million litigation trust and provided that general unsecured claims would be paid in full or remain unimpaired. These were the contemplated economics at commencement; confirmation and effectiveness subsequently established the reorganization’s operative milestones.
The court’s April 16, 2018 final financing order Dkt. 177 authorized postpetition financing and cash-collateral use, senior liens and superpriority administrative expense status, and adequate protection for prepetition secured parties. That financing authority supported the path to the May confirmation and emergence, followed by the July final decree.
